Arrangement in relation to the share of
European Reinsurance Company of Zurich
in the pool business of Reinsurance
Group Manager Limited
European
Reinsurance Company of Zurich (the Scheme Company) proposes to enter into a
Solvent Scheme of Arrangement with its Scheme Creditors, pursuant to Section
425 of the Companies Act 1985 of Great Britain, to finalise its insurance and
reinsurance liabilities in relation to its business in respect of its
participation within Reinsurance Group Managers Limited (RGM Pool) (other than
liabilities arising out of claims which have been agreed by or on behalf
of the Scheme Company but not paid prior to the date on which the Scheme
becomes effective).
By
an order dated 30 October 2006, the High Court of Justice in England and Wales
directed that separate meetings of those Scheme Creditors with Notified
Outstanding Claims and those Scheme Creditors with IBNR Claims of the Scheme
Company be held on 20 December 2006 at PRO Insurance Solutions Limited, One
Great Tower Street, London EC3R 5AA, commencing at 11:00am (London time) to
consider, and if thought fit, approve the Scheme.
A
Scheme document has been sent by the Scheme Company to all known creditors on 3
November 2006. A copy of the Scheme document is available to review and
download from the Important Documents section of
this website.
At
the Scheme Meetings held on 20 December 2006, the proposed solvent scheme of
arrangement was voted on and approved by each class of Scheme Creditor and was
subsequently sanctioned by an Order of the High Court of Justice of England and
Wales on 15 January 2007. The Solvent Scheme became effective on 23 January
2007, being the date on which an office copy of the Order sanctioning the
Solvent Scheme was delivered to the Registrar of Companies in England and
Wales.
Scheme
Creditors must submit a Claim Form to the Scheme Manager in respect of their
Scheme Liabilities by 5:00pm London Time on 23 July 2007. A copy of the Claim
Form is available to review and download from the Important Documents section
of this website.
